Given what has happened to Trump with the weaponised justice system no one in the US feels secure any longer. The vote on the 13th looks also to have a political component and as the board have put out their believe that shareholders should vote for it, they have a fiduciary requirement to present share holders with as much support of their decision as possible and that includes anything, they or Musk feel is appropriate.
I have no idea what is going on in the US, but the rulentless misinformation against Tesla is indicative of well organised and well funded hostilities which is enough to make anyone feel insecure.
Musk at Tesla is going to be a fascinating example for business schools to study. There seems little doubt that Tesla in the early 2010s was driven by the kind of collective vision engendered by great leaders, but some time around 2016/17 that collective vision turned into the vision of one man - who had lost the dressingroom (qv eg Grobmann leaving in April 2017), and that seldom ends well. He now seems to be ruling Tesla by whim and fear rather than by vision - certainly his time at Twitter has been a reign of terror from the start, I don't follow SpaceX closely but maybe the collective vision is still in place there?
I have no idea why anyone cares what is presented at Business Schools, the folk there are not wealthy and are opining on things they have never done. There are huge differences in how US and UK business are run with the US far more aggressive and no one cares about staff if the bottom line is good and there is amazement that Musk runs X with a fraction of the staff of previous management. Having studied Tesla and competitor engineering it is clear that Tesla have a huge lead and a well developed pipe line and are continuing to sell large numbers of cars despite the intense head wind of high interest rates. The Cyber truck is not meant to be a F150 competitor as indeed is the case with Range Rover. It is a luxury vehicle and is selling well to its targeted market.
Tesla is run by the board, not Musk. All of these "Musk is doing this..." stories are fabrications designed to undermine Tesla.
